Terms and Conditions

1. Administration Fees: The Client agrees to pay an administration fee of $950.00 to NNM Consulting upon signing the assignment order. This non-refundable fee must be wired to the consulting company’s account.

2. On-Site Consulting Fees: The Client shall pay for all consultant travel, accommodation, and F&B expenses for on-site consulting. The consulting fee shall be calculated depending on the nature and duration of the assignment.

3. Retainer Fees: If the on-site consulting contract exceeds one month or $15,000 in fees, the Client shall be required to wire a retainer of 15% of the total consulting fees upon the commencement of the on-site assignment.

4. Other Regulatory Requirements: The Client agrees to submit to all other regulatory requirements, including, but not limited to, confidentiality agreements, nondisclosure agreements, and work-for-hire agreements, as required for the nature of the assignment.

5. Payment Terms: Unless otherwise agreed between the Client and the consulting agency, all fees are due and payable upon completion of the assignment or as otherwise specified in the specific engagement letter or contract.

6. Late Fees: If the Client fails to pay any fees by the due date, the consulting agency may impose a late payment fee at a rate of 2% per month, calculated on a daily basis, until the outstanding amount is paid in full.

7. Termination of Agreement: Both parties can terminate the agreement at any time by providing written notice to the other party. In the event of termination, the Client shall pay all fees up to the termination date.

8. Governing Law: This Agreement shall be governed by and construed following the laws of the jurisdiction where the consulting agency is located.

9. Entire Agreement: This Agreement contains the parties’ understanding and supersedes all prior agreements, oral or written, and may not be modified except in writing, signed by both parties.

10. Severability: If any provision of this Agreement is held invalid or unenforceable in any jurisdiction, such provision shall be deemed severed from this Agreement and shall not affect the enforceability of any other provision.
